Through their years of experience, our team has been involved in the following Notable Transactions
- Advised in an M&A transactions between listed entity and the Public Investment Corporation.
- Advised a number of companies in the implementation of transactions in terms of the Banks Act; 1990, drafted all agreements (including Sale of Claims, Management Agreements, Standby Administration Agreements, Security Trust Deeds (which incorporated the Guarantee and Indemnity), Ownership Trust Deeds, Security Cession Agreements, all Subscription Agreements and Common Terms Agreements, where applicable etc.).
- Established multiple En Commendite partnerships in respect of private equity firms including investment advisory agreements in terms of the FAIS Act.
- Responsible for legal structuring of discounting model for a multibillion Rand transaction between an SPV and various commercial banks. Negotiated and drafted all commercial agreements with multinational suppliers.
- Appointed to draft and negotiate all agreements with public sector in respect of the recapitalization of the Gauteng Provincial Government Fleet.
- Appointed to draft and negotiate all agreements with public sector in respect of Gauteng Online, the largest public sector technology project at that time.
- Negotiated and drafted agreements in respect of sale and acquisition of stake in renewable energy project company to a listed fund including making submissions to the DoE and other regulatory bodies.
- Applied for numerous licenses for telecommunications operators with ICASA and provided regulatory opinion work including representing licensees at the CCC.
- Involved in managing and conducting major litigation matters internationally with Playboy Enterprises.
- Appointed as litigator to assist in business rescue on behalf of significant gold refinery in South Africa.
- Appointed as legal advisor in respect of international Gaming Operators.
- Structured transactions between State-Owned Entities and National Treasury.
- Advisor to Gauteng Infrastructure Financing Agency.
- Appointed as transaction advisor to several international technology companies for the roll out into multiple jurisdictions including various Ministries of Finance.
